Managed Wind-Down

Managed Wind-Down

A restructuring solution that helps organisations to exit underperforming or non-core trading subsidiaries or businesses.

Navigating Complexity

Managed Wind-Down involves either the exit of a specific business line within a legal entity and/ or the full exit of all business from a legal entity followed by its subsequent liquidation or dissolution.

Why should my organisation consider Managed Wind-Down?

Managed wind-down activity usually follows from either a strategic decision to exit non-core/ underperforming parts of an organisation’s business, or M&A activity where a group has acquired “baggage-trade” (non-core) as an unwanted bi-product of an acquisition.

Operating non-core activities can unnecessarily occupy resources, incur cost and distract management focus with non-value add parts of the business.  The most successful organisations can identify this quickly and take active decisions to streamline, often through a Managed Wind-Down or other restructuring processes.

How do we deliver our Managed Wind-Down services?

JC supports clients in the design, planning and execution of Managed Wind-Down activity through the provision of a team of dedicated restructuring advisors and project management specialists who work with your internal team and third party advisors to maximise the value and minimise the costs associated with your exit. Managed Wind-Down activity will typically include:

  • closing out debtor books
  • resolving creditor positions
  • communicating with customers
  • transferring or disposing of assets
  • exiting operating leases
  • finalising tax affairs and financial audits and
  • finalising residual employee issues.

Once a decision has been taken to wind-down or exit part of a business, the challenge lies in managing closure activities diligently and efficiently yet thoroughly, whilst ensuring minimal disruption to ongoing business as usual activities. We often embed ourselves in our clients’ teams to take on the Managed Wind-Down burden, providing restructuring advisory, project management, finance and operational support and coordinating tax and legal input through our extensive global network.  We are a “one-stop-shop” solution for our clients.

As economic landscapes change, so businesses have to adjust. We can help clients with options analysis if they are considering their position, or execution of a pre-defined strategy if they have already decided to exit a location or market.
